These Terms of Service ("Terms") govern your use of The Business Gallery website at thebusinessgallery.com and its related services (the "Gallery"). The Gallery is operated by The Business Gallery Ventures FZE LLC, a company registered with the Free Zones Authority-Ajman, United Arab Emirates, under licence number 58893 ("we", "us"). Our registered address is AMC-BLA-B.C-6010454, Ajman Media City, Ajman, United Arab Emirates.
By creating an account, or by continuing to use the Gallery after we publish a new version of these Terms, you agree to them. If you do not agree, do not use the Gallery.
1. Who can use the Gallery
- You must be at least 18 years old to create an account.
- You must give true, current and complete details about yourself, and keep them up to date.
- Each person may hold one account. You may not create an account for someone else without their authority, or use another person's mobile number.
- You are responsible for everything done through your account. Tell us straight away at hello@thebusinessgallery.com if you think someone else has used it.
2. What the Gallery is
The Gallery is an online directory. Businesses and independent professionals ("Listers") publish profiles to promote their services, and owners can advertise a business for sale. Visitors can browse, and signed-in members with a verified UAE mobile number can see Listers' contact details and get in touch with them.
We are not a party to any agreement between a Lister and a customer, buyer or seller. We do not provide the services that Listers offer, and we do not guarantee their quality, safety, legality or availability.
3. Listings
- You may list only a business or service that you own or are authorised to represent.
- You confirm that you hold every trade licence, permit or professional registration that UAE law (or the law of the place where you work) requires for what you offer, and you will show it to us if we ask.
- If you give us a licence number and we match it against the issuer's register, your page shows a "Licence checked" badge with the issuer and the date of the check. The badge means the number matched the register on that date. It is not a guarantee that the licence is valid now, and anyone dealing with a Lister should make their own checks.
- Your listing must be accurate and must not be misleading. You are responsible for its content, including text, prices, photos, logos, audio and contact details.
- You must not list anything illegal in the UAE, anything that infringes someone else's rights, or anything offensive to public morals, religion or public order.
- We review listings before they go live and when you change them. Photos and videos are also checked automatically for nudity and violence when you upload them; anything the check flags is held for a member of our team to look at before it appears. We may refuse, pause, edit for formatting, or remove any listing, and suspend any account, at our discretion, including where we believe the law or these Terms have been broken.
- When you publish contact details, you agree that we may show them to signed-in members with a verified mobile number.
4. Businesses for sale
- To advertise a business for sale, you must own it or be authorised to sell it, and have the legal capacity to do so.
- We provide advertising and introductions only. We are not a broker, agent or adviser. We do not value businesses, negotiate or advise on any sale, or take a commission on any sale.
- We never hold deposits, escrow or any other money for buyers or sellers.
- Financial and other information about a business for sale is supplied by the seller and is not checked or verified by us. Buyers must carry out their own due diligence and take their own legal, financial and tax advice.
- A seller may keep the business name confidential. Anything you learn from a confidential listing, including what the seller tells you after you make contact, may be used only to assess whether to buy the business and must not be shared with anyone else or used for any other purpose.
- We cannot guarantee a seller's anonymity. A seller's own replies, photos or figures may reveal who they are, and that is the seller's responsibility.
- Any transfer of a business, licence, lease or employees is a matter between the buyer and the seller, and must follow the rules of the relevant licensing authority.
5. Contacting Listers and other members
- Use contact details revealed through the Gallery only to make a genuine enquiry about the listing. Do not use them for spam, unsolicited marketing, harassment, or to build a list or database.
- An enquiry you send through the Gallery is passed to the Lister together with your name, email address and mobile number, so that they can reply to you directly.
- We limit how many contact details each member can reveal per day.
6. Paid plans, cancellations and refunds
- Paid plans (such as Basic, Pro and business-for-sale plans) and add-ons are priced in UAE dirhams (AED) and billed in advance through our payment provider, Stripe. VAT is charged where UAE law requires it.
- Subscriptions renew automatically at the end of each period until you cancel. You can cancel at any time from your dashboard. Cancellation takes effect at the end of the current paid period, and you keep the features you paid for until then.
- If you move from a lower plan to a higher one during a paid period, you pay only the difference for the rest of that period.
- Payments are not refundable, except where these Terms say otherwise, where we cancel a booking ourselves, or where UAE law requires a refund.
- Promotions, such as free Pro time for founding members, are offered on the conditions shown when you sign up. We apply them when we approve your listing, and we may close an offer to new members at any time. Promotional time has no cash value and is not refunded.
- If a renewal payment fails, we may pause the paid features of your listing until it is paid.
- We may change our prices. A new price applies from your next renewal after we tell you about it.
7. Your content
You keep ownership of the content you upload. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, resize, translate, display and share it for as long as it is on the Gallery, in order to run and promote the Gallery (for example, in search results, in the virtual gallery, and on our social media). You confirm that you have the rights needed to give us this licence.
If you turn on a gallery greeter for your listing, you also agree that we may make a synthetic voice clip of your listing's words and style a greeter figure from the colours of your logo, your profile photo or a photo you upload for that purpose. You can switch the greeter off from your dashboard at any time.
8. Acceptable use
You must not:
- break any UAE law, including Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes;
- copy, scrape or harvest listings or contact details by automated means;
- try to get around our security, rate limits or human checks, or interfere with the Gallery's operation;
- impersonate any person or business, or misrepresent your connection with them;
- upload viruses or harmful code.
9. Our content and brand
The Gallery's design, software, text, logos and the name "The Business Gallery" belong to us or our licensors. You may not use them without our written permission.
10. Availability and changes
We work to keep the Gallery available and accurate but provide it "as is". We may change, suspend or withdraw any part of it at any time.
11. Liability
To the extent permitted by UAE law:
- we are not liable for any dealings between you and a Lister, buyer or seller, or for the content of any listing;
- we are not liable for any indirect or consequential loss, or loss of profit, business or data;
- our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under UAE law.
12. Closing your account
You can delete your account at any time from your account page. We may suspend or close your account if you break these Terms. Sections 4, 7 (for content already shared), 11 and 14 continue to apply after your account closes.
13. Changes to these Terms
We may update these Terms. Each version has a number and a date. When we publish a new version, we will ask you to read and accept it the next time you use the Gallery while signed in, and you will need to accept it to keep using your account. Earlier versions remain available on this page.
14. Governing law and disputes
These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Ajman. The courts of the Emirate of Ajman have exclusive jurisdiction over any dispute arising from them, unless UAE law gives you the right to bring a claim elsewhere.
If these Terms exist in English and Arabic and there is a difference between them, the Arabic version prevails to the extent required by UAE law; otherwise the English version prevails.
